General Partner (GP)

The general partner, or GP, is the party responsible for managing a real estate investment on behalf of the other investors in the deal, commonly organized as a limited liability company or limited partnership. The GP typically sources the property, arranges financing, executes the business plan, and handles day-to-day decision-making throughout the hold period. In return, the GP usually earns fees for its work along with a share of profits above a stated return threshold, often called the promote or carried interest.

Because the GP carries operational control and unlimited liability for the venture's obligations, its incentives and track record deserve close scrutiny from prospective investors. One useful lens is comparing the responsibilities the GP takes on relative to its limited partners, since a sponsor with meaningful skin in the game and a clearly defined fee structure tends to align more closely with investor outcomes than one collecting fees regardless of performance.
